Role Overview
You will be responsible for a broad range of technology transactions and operational issues, and for counseling business and sales units on a variety of issues within the North America region. You will be a qualified lawyer (passed bar exam in any US State) with a valid legal degree from a recognized University and with rights to reside and work within the United States. You must have expertise in technology contracts with a strong emphasis on cloud-based services and software licensing agreements, Reseller and Partner Agreements, and ancillary contractual experience. You must have a working understanding of laws and regulations that impact cloud technology contracts for enterprise communications systems, including data privacy laws and artificial intelligence. You will focus on cloud subscription agreements and all related cloud-based transactional matters, as well as other partner and distribution agreements, especially in connection with enterprise licensing transactions.
What You'll Do
In this role, the primary responsibilities will include (but are not limited to):
- Negotiating, drafting, and closing cloud and software licensing and technology agreements, amendments, letters and related matters such as subscription agreements, reseller and teaming agreements, non-disclosure agreements, subcontractor agreements, RFP responses, statements of work, direct and indirect licensing agreements, Cloud-based transactions, alliance/partnering agreements, enterprise software and support agreements, marketing agreements, and distribution/channel agreements.
- Knowledge of and engagement with data privacy and data security-related issues and artificial intelligence.
- Preparation of standard templates for recurring commercial transactions and to address new business models or legal and business requirements.
- Collaborating with cross functional teams such as business/sales, marketing, finance and other business functions necessary to effectively and efficiently accomplish assignments and ensuring best practices in various legal areas such as antitrust, intellectual property protection, contract law, and others.
- Supporting initiatives and collaborating with internal business partners to improve contracting standards, templates, playbooks, and best practices.
- Ad hoc duties as directed by management
Qualifications
- You must possess a law degree from an accredited law school and have passed a bar exam in any US State or Territory and be a member in good standing in any such State or Territory.
- Minimum of 4+ years legal experience required and preferably gained from a combination of private practice and in-house roles.
- Proficiency in commercial and contract law and experience negotiating and drafting a variety of contracts including Cloud, licensing, distribution, supply, OEM/ODM, collaboration, and strategic transactions.
- Experience in a customer-facing role (e.g., sales and deal desk, etc.) is a must. You must be diplomatic in handling negotiations with customers.
- Proficient knowledge of legal issues specific to the technology industry generally and the cloud computing industry specifically. Experience in contact center technology issues is a plus.
- You must demonstrate attention to detail, clear written and oral communication skills, and excellent drafting skills.
- You must demonstrate knowledge of, and ability to navigate, complex legal and regulatory compliance issues.
- The ideal candidate will have a positive, problem-solving, business focused attitude with good judgment prioritizing workload in a fast paced environment.
- You must have the ability to manage multiple projects simultaneously and complete projects accurately, on schedule.
- You must have the ability to analyze complex matters and make difficult decisions with minimal supervision.
- You must adopt a team-oriented attitude, willing to assist on any and all types of legal issues requested of you.
- Experience with other international contracting and legal issues and foreign language skills will also be taken into consideration.
Compensation
This role has a market-competitive salary with an anticipated base compensation range listed below. Actual salaries will vary depending on a candidate's experience, qualifications, skills, and location. This role might also be eligible for a commission or performance-based bonus opportunities.
$122,300.00 - $215,100.00
